The following describes the terms on which Aiido Pte. Ltd. and/or Aiido Malaysia Sdn. Bhd. offer you access to our services.

The legal agreement (“Agreement”) set out below are between you and Aiido Pte. Ltd. and/or Aiido Malaysia Sdn. Bhd. ("Aiido") and govern your use of the website www.aiido.com (the "Website"). to agree to these terms, click "Agree".

If you do not agree to these terms, do not click "Agree" and do not use the website. This agreement applies without prejudice to any vendor agreements that you may have entered into, such as for the purchase of the services of each respective vendor.

The legal agreement set out below are effective immediately upon acceptance by new users and will apply to all current users from 5th august 2015. this version is last updated on 1st July 2018.

• SCOPE

  Aiido is the provider of the Website services and/or products, which permits you to access and/or purchase any products from the respective vendors on the Website (“Aiido Products”) for end user use only under the terms and conditions set forth in this Agreement. Aiido is not the provider of the service and/or products available on the Website, that are solely provided by the respective vendors.

  Before you become a member of the Website, you must read and accept all terms and conditions set out and linked herein. We strongly recommend that, as you read this Agreement, you also access and read the linked information. By accepting this Agreement, you agree that this Agreement and Privacy Policy (https://www.aiido.com/privacy-policy) will apply whenever you use our Website, or when you use the tools we make available to interact with our Website. If you have any questions, please refer to our contact us section (http://www.aiido.com/contact) and FAQ (https://www.aiido.com/faq).

  Through the Site, Aiido provides an online platform through which you can browse different types of wedding products and services, including but not limited to photographers, videographers, bridal studio, make-up artist, florist, venue, etc. and make purchases of any such services and/or products. By making any through the Website, you have accepted an offer as per the respective listings you have chosen. Any such transaction is a binding contract and we will send you an e-mail confirmation for each transaction. The respective vendor will contact you within 72 hours regarding your transaction. Aiido reserves the sole and absolute discretion to reject bookings without the need to justify such refusal. Aiido also reserves the right to bar and/or blacklist users from the Site, on a permanent or temporary basis, at Aiido’s sole and absolute discretion.

• REQUIREMENTS FOR USE OF THE WEBSITE

  Only persons aged 18 years or older can create accounts. Accounts for persons under 18 years old can be created by a parent or legal guardian. Persons under the age of 18 should review this Agreement with their parent or legal guardian to ensure that they and their parent or legal guardian understand it.

  Use of the Website requires compatible devices, Internet access, and certain software (fees may apply); and may be affected by the performance of these factors. High-speed Internet access is strongly recommended for regular use and is required for video. The latest version of required software is recommended to access the Website and may be required for certain transactions or features. You agree that meeting these requirements, which may change from time to time, is your responsibility.

• YOUR ACCOUNT

  As a registered user of the Website, you may establish an account (“Account”). Do not reveal your Account information to anyone else. You are solely responsible for maintaining the confidentiality and security of your Account and for all activities that occur on or through your Account, and you agree to immediately notify Aiido of any security breach of your Account. Aiido shall not be responsible for any losses arising out of the unauthorized use of your Account which is not due to the negligence of Aiido.

  In order to purchase products and/or services from the Website, you must enter your username and password to authenticate your Account for transactions. You can choose to allow your computer and/or mobile device to remember your password to remain authenticated.   You agree to provide accurate and complete information when you register with, and as you use, the Website (“Aiido Registration Data”), and you agree to update your Aiido Registration Data to keep it accurate and complete. You agree that Aiido may store and use the Aiido Registration Data you provide to fulfill all transaction and for use in maintaining and billing fees to your Account.

  Aiido reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders in its sole and absolute discretion at any point in time.

• USING THIS WEBSITE

  While using this Website, you will not:

  • post content or items in an inappropriate category or areas on our Website or services;
  • violate any laws, third party rights, or our policies;
  • use our Website if you are not able to form legally-binding contracts, are under the age of 18, or are temporarily or indefinitely suspended from our Website;
  • interfere with other users;
  • circumvent or manipulate our fee structure, the billing process, or fees owed to the Aiido;
  • post false, inaccurate, misleading, defamatory, or libelous content (including personal information);
  • take any action that may undermine the feedback or ratings systems;
  • transfer your account to another party without Aiido's consent;
  • distribute or post spam, chain letters, or pyramid schemes;
  • distribute viruses or any other technologies that may harm the Website, or the interests or property of users of the Website;
  • copy, modify, or distribute content from the Website and Aiido's copyrights and trademarks; or
  • harvest or otherwise collect information about users, including email addresses, without their consent; or
  • use existing user accounts or create new user accounts in order to circumvent or avoid buying or selling limits, restrictions, holds or other policy consequences.

  Violations of this policy may result in a range of actions, including but not limited to:

  • Limits placed on account privileges
  • Account suspension / termination
  • Potential Criminal charges
  • Civil Liabilities and all other appropriate civil remedies as provided by the law

  You will only be provided with the direct contact details of the relevant vendors upon each transaction made by you through the Website.

• PURCHASE AND PAYMENT

  All details of the product and/or service as at the point of transaction will be binding on you and the respective vendor. You should carefully read the package detail page and review information such as price, option price, shipping charges, taxes, cancellation policies etc. and terms and conditions for sales before making a purchase on the Website.

  Aiido takes no responsibility and assumes no liability for any loss or damages to a buyer arising from any errors made by the buyer or vendor, contact information, shipping information and/or payer information entered by the buyer or wrong remittance by the buyer in connection with the payment for the items purchased. Aiido reserves the right to check whether a buyer is duly authorized to use certain payment method, and may suspend the transaction until such authorization is confirmed or cancel the relevant transaction where such confirmation is not available.

  Further, Aiido will strictly have no responsibility for any monies paid to the Vendor or in relation to the transaction made through the Website, save for the amount paid through the Website.

• PAYMENTS, TAXES, AND REFUND POLICY

  You agree that you will pay for all products you purchase through the Website, and that Aiido may charge your payment method for any products purchased and for any additional amounts (including any taxes and late fees, as applicable) that may be accrued by or in connection with your Account. You are responsible for the timely payment of all fees and for providing Aiido with a valid payment method for payment of all fees.   Your total price will include all prices of the products and/or services plus any applicable tax from Aiido (if any); such tax is based on the bill-to address and the tax rate in effect at the time you make the purchase. No customers are eligible for tax exemptions. Additional fees, such as cross-border transaction fees and credit card fees, may apply.

  All sales and rentals of products are final.

  Prices for products offered via the Website may change at any time, and the Website does not provide price protection or refunds in the event of a price reduction or promotional offering. The price for each transaction is only locked-in and confirmed upon completion of the transaction on the Website.

  If a product becomes unavailable following a transaction but prior to completion of the delivery, or if there is any delay and/or failure to deliver the purchase completely your remedy is to be sought directly with the vendor that you have purchased from, contact details as provided upon the confirmation of your transaction. For the avoidance of doubt, such contact details are as provided by the respective vendor, the accuracy of which is the vendor’s duty to update Aiido accordingly. Aiido is not liable for the breach of the vendor’s obligations, if any.

• DELIVERY

  Upon confirmation of the transaction completed on the Website, the vendor will contact you directly within 72 hours. You will liaise directly with the respective vendor for all confirmed transactions from the time of such confirmation, insofar as the communication is in respect of fulfilling the transaction, save where the vendor becomes uncontactable then please do inform Aiido within 7 calendar days from the User’s last attempt to contact the vendor, for Aiido to act accordingly.

  Contact details of the respective vendor will be provided to you only upon such confirmation of such transaction and the accuracy of such information is according to the last update made by the vendor to Aiido. Should the respective vendor fail to contact you within the aforesaid 72 hours, kindly do contact the vendor at the contact details provided. If you are unable to contact the vendor, and/or where the vendor becomes uncontactable prior to the completion of the delivery of the product and/or service, kindly also inform Aiido within 7 calendar days from the User’s last attempt to contact the vendor and Aiido will try its best to assist.

  Where the vendor fails to deliver on the actual date of delivery according to the confirmed transaction, kindly inform Aiido within 72 hours from the actual date of delivery (including the actual date of delivery), for Aiido to assist you to the best possible in the given circumstances.

  Where is a cancellation by either you or the vendor, please refer to the cancellation policy set out herein.

• CANCELLATION AND REFUND

  The applicable cancellation policy for each transaction would be as reflected on the respective listings of each vendor. It is your sole responsibility to notify the respective vendor for your cancellation of any transaction and you will be solely and absolutely liable to fulfill the terms in the respective cancellation policy.

  Where any refunds are made to you, such refund will be by credits in your Account and after deducting HALF of the deposit paid in accordance with the respective cancellation policy, for the cancellation. Such credits can be used to make another booking or can be sent to other individuals as a gift card. The credits in your account will be valid for use within 180 days from the date of issue of credits (excluding the date of issue) and such purchases with the credits must be used within 365 days from the date of issue of credits (excluding the date of issue).

  Where the vendor cancels the transaction for any reason whatsoever, Aiido will refund the FULL deposit amount paid by you, as credits in your Account. Such credits can be used to make another booking or can be sent to other individuals as a gift card. Where you are notified of such cancellation, you may contact Aiido for assistance to arrange for an alternative vendor but Aiido does not guarantee the availability of securing an alternative vendor for you and additional costs may be required depending on the alternative chosen.

  Where the vendor absconds after your transaction on the Website, Aiido will refund the FULL deposit paid by you, as credits in your Account. Such credits can be used to make another booking or can be sent to other individuals as a gift card. Where you are notified of such cancellation, you may contact Aiido for assistance to arrange for an alternative vendor but Aiido does not guarantee the availability of securing an alternative vendor for you and additional costs may be required depending on the alternative chosen.

  There are some listings that are labeled “Exclusive” and should be the best price and/or value of the package. In the event you purchase an “Exclusive” deal but find a better deal and notify Aiido within 7 days from the transaction (excluding the day of the transaction), the vendor must refund to you the difference in the pricing and/or value. The vendor will refund the said amount to you directly within 7 days (excluding the day the notice was given) of the Company’s notice to the vendor. Aiido will inform you once the vendor is notified and kindly do let Aiido know should you receive the said amount.

  Kindly note that all cashback of the credits is possible at a 90% value, the remaining 10% of the credits being administrative charges for processing of cash refund.

• GIFTS

  Credits purchased from the Website may be purchased only for, and redeemed only by registered users of the Website. Gift recipients must contact and liaise with the respective vendor to arrange for the completion and/or delivery of the purchase. The credits are valid as a gift for 180 days (excluding the day of purchase of the credits) and the delivery of the product and/or service must be utilised within 365 days (excluding the day the credits is received) from receiving the gift.

• PRE-ORDERS

  By pre-ordering products, you are authorizing the Website to automatically charge your account and purchase the product when it becomes available. You may cancel your pre-order prior to the time the item becomes available. Any cancellations after the item becomes available will be subject to the cancellation policies of the respective vendor.

• ELECTRONIC CONTRACTING

  Your use of the Website includes the ability to enter into agreements and/or to make transactions electronically. You acknowledge that your electronic submissions constitute your agreement and intent to be bound by and to pay for such agreements and transactions. Your agreement and intent to be bound by electronic submissions apply to all records relating to all transactions you enter into on this Website, including notices of cancellation, policies, contracts and applications. In order to access and retain your electronic records, you may be required to have certain hardware and software, which are your sole responsibility.

• MOBILE DEVICES

  If you sign up for an Account or use the Website covered by this Agreement on a mobile device, you may have access to only a limited set of Account or Website functionality. As a condition to accessing your Account or Website on a mobile device, you agree to all relevant terms and conditions found in this Agreement, including, without limitation, all requirements for use of an Account or Website, limitations on use, availability, disclaimers of warranties, rules regarding your content and conduct, and termination. If you later choose to access your Account or Website from a computer, you agree that all of the terms and conditions contained herein apply to your use of such Account or Service.

  Aiido is not responsible for typographic errors.

• CONTENT

  You may post reviews, comments, photos and other content; submit suggestions, ideas, comments, questions, or other information, so long as the content is not illegal or in breach of the laws and/or rules and regulations, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties or objectionable and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings or any form of "spam." You may not use a false e-mail address, impersonate any person or entity, or otherwise mislead as to the origin of a card or other content. Aiido reserves the right (but not the obligation) to remove or edit such content, but does not regularly review posted content.

  Aiido reserves the right to change content options (including eligibility and availability for particular features) without notice.

• SUBMISSIONS TO THE WEBSITE SERVICES

  The Website may offer interactive features that allow you to submit materials (including links to third-party content) and viewable by the public. You agree that any use by you of such features, including any materials submitted by you, shall be your sole responsibility, shall not infringe or violate the rights of any other party or violate any laws, contribute to or encourage infringing or otherwise unlawful conduct, or otherwise be obscene, objectionable, or in poor taste. You also agree that you have obtained all necessary rights and licenses. You agree to provide accurate and complete information in connection with your submission of any materials on the Website. You hereby grant Aiido a worldwide, royalty-free, non-exclusive license to use such materials as part of the Website or in relation to the products and/or services on the Website, without any compensation or obligation to you. Aiido reserves the right to not post or publish any materials, and to remove or edit any material, at any time in its sole and absolute discretion without notice or liability.

  Aiido has the right, but not the obligation, to monitor any materials submitted by you or otherwise available on the Website, to investigate any reported or apparent violation of this Agreement, and to take any action that Aiido in its sole and absolute discretion deems appropriate, including, without limitation, termination hereunder.

• THIRD-PARTY MATERIALS

  Certain content, products, and services available via the Website may include materials from third parties. Aiido may provide links to third-party websites as a convenience to you. You agree that Aiido is not responsible for examining or evaluating the content or accuracy and Aiido does not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or services of third parties. You agree that you will not use any third-party materials in a manner that would infringe or violate the rights of any other party and that Aiido is not in any way responsible for any such use by you.

  The details for any listings on the Website for any vendor is true to the last update of information provided by the vendor. Aiido is not liable for any inaccuracy of the said details. While Aiido will check the profile of each vendor prior to allowing its listings, it is your sole responsibility to do the necessary to verify the details and/or information and you will be solely liable for any disputes arising out of the vendor’s reputation and/or listing and/or any transaction. You enter into any transactions at your sole risk and discretion. For avoidance of doubt, Aiido is not responsible for any such disputes that may arise.

• OBJECTIONABLE AND INAPPROPRIATE MATERIAL

  You understand that by using the Website, you may encounter material that you may deem to be offensive, indecent, or objectionable, and that such content may or may not be identified as having explicit material. Nevertheless, you agree to use the Website at your sole risk and Aiido shall have no responsibility to you for material that may be found to be offensive, indecent, or objectionable. Aiido product and/or service types and descriptions are provided for convenience, and you agree that Aiido does not guarantee their accuracy.

• PRIVACY

  We do not sell or rent your personal information to third parties for their marketing purposes without your explicit consent. We use your information only as described in our Privacy Policy (https://www.aiido.com/privacy-policy). You can access and modify the information you provide us and choose not to receive certain communications by signing-in to your account. If you object to your Information being transferred or used in this way please do not use our services.

  Aiido has the right to release your contact information to the respective vendors upon each transaction you make through the Website and you are expected to provide accurate contact details. Further, you allow the respective vendors to contact you with the aforesaid contact details, for the purposes of your transaction made through the Website. Where you fail to provide accurate contact details and the respective vendors are unable to fulfill the transactions, Aiido will not be liable for any loss or damages arising out of such errors.

  For the avoidance of doubt, if Aiido has reasonable grounds to believe that any user is in breach of any of the terms of this Agreement apart from Aiido’s rights set out in this agreement herein and any compliance requirements, Aiido reserves the right, in its sole and absolute discretion, to cooperate fully with governmental authorities, private investigators, all the rightful owner(s) or interest holder(s) and/or injured third parties in the investigation of any potential or ongoing criminal or civil wrongdoing. Further, Aiido may disclose the user's identify and contact information, or such other transaction-related data, if requested by a government or law enforcement body, private investigator, rightful owner or interest holder and/or any injured third party or as a result of a subpoena or other legal action, or if Aiido is of the view, in its sole and absolute discretion, that it would be in its best interest to do so. Aiido shall not be liable for damages or results arising from such disclosure, and the user(s) agrees not to bring any action or claim against Aiido for such disclosure.

• INTELLECTUAL PROPERTY

  You agree that the Website, including but not limited to the products, graphics, user interface, audio clips, video clips, editorial content, and the scripts and software used to implement the Website, contains proprietary information and material that is owned by Aiido and/or its vendors, and is protected by applicable intellectual property and other laws, including but not limited to copyright. You agree that you will not use such proprietary information or materials in any way whatsoever except for use of the Website in compliance with this Agreement. No portion of the Website may be reproduced in any form or by any means, except as expressly permitted in these terms. You agree not to modify, rent, lease, loan, sell, distribute, or create derivative works based on the Website in any manner, and you shall not exploit the Website in any unauthorized way whatsoever, including, but not limited to, by trespass or burdening network capacity.

  Notwithstanding any other provision of this Agreement, Aiido and its vendors reserve the right to change, suspend, remove, or disable access to any products, content, or other materials comprising a part of the Website at any time without notice. In no given circumstances will Aiido be liable for making these changes. Aiido may also impose limits on the use of or access to certain features or portions of the Website, in any case and without notice or liability.

  All copyrights in and to the Website (including the compilation of content, postings, links to other Internet resources, and descriptions of those resources) and related services and/or products of the respective vendors, are owned by Aiido and/or its respective service vendors, who reserve all their rights in law and equity. The use of any part of the Website, except for use of the Website as permitted in this Agreement, is strictly prohibited and infringes on the intellectual property rights of Aiido and the others and may subject you to civil and criminal remedies and/or penalties that are provided by the law.

  From time to time and where applicable, Aiido, the Aiido logo and other Aiido trademarks, service marks, graphics, and logos used in connection with the Website are trademarks or registered trademarks of Aiido in Singapore and/or other countries. Other trademarks, service marks, graphics, and logos used in connection with the Website may be the trademarks of their respective owners. You are granted no right or license with respect to any of the aforesaid trademarks and any use of such trademarks.

• TERMINATION

  If you fail, or Aiido reasonably suspects that you have failed, to comply with any of the provisions of this Agreement, Aiido, at its sole and absolute discretion, without notice to you may: (i) terminate this Agreement and/or your Account, and you will remain liable for all amounts due under your Account up to and including the date of termination; and/or (ii) preclude access to the Website (or any part thereof).

  Aiido reserves the right to modify, suspend, or discontinue the Website (or any part or content thereof) at any time with or without notice to you, and Aiido will not be liable to you or to any third party should it exercise such rights.

• DISCLAIMER OF WARRANTIES; LIABILITY LIMITATION

  Aiido does not guarantee, represent, or warrant that your use of the Website service will be uninterrupted or error-free, and you agree that from time to time Aiido may remove the Website for indefinite periods of time, or cease the website at any time, without notice to you.

  You expressly agree that your use of, or inability to use the Website, is at your sole risk. The Website and all products and/or services delivered to you through transactions on the Website are, except as expressly stated by Aiido, provided “as is” and “as available” for your use, without warranties of any kind, either express or implied, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

  In no case shall Aiido, its directors, officers, employees, affiliates, agents, contractors, or licensors be liable for any direct, indirect, incidental, incidental, punitive, special, or consequential damages arising from your use of any of the Website or for any other claim related in any way to your use of the Website, including, but not limited to, any errors or omission in any content, or any loss or damage of any kind incurred as a result of the use of any content or product posted, transmitted or otherwise made available via the Website, even if advised of their possibility.

  Aiido shall use reasonable efforts to protect information submitted by you in connection with the Website, but you agree that your submission of such information is at your sole risk, and Aiido hereby disclaims any and all liability to you for any loss or liability relating to such information in any way.

  The Wesbite does not constitute and should not be regarded as a recommendation or endorsement of (the quality, service level or rating of) any listings on the Website. Aiido hereby expressly disclaim any representation, warranty or undertaking in relation to the quality, status or adequacy of any listings on the Site. The providers and/or vendors can be ranked on the Site according to different criteria (star rating, reviews, etc.).

  Aiido does not represent or guarantee that the Website will be free from loss, corruption, attack, viruses, interference, hacking, or other security intrusion, and Aiido disclaims any liability relating thereto.

• WAIVER AND INDEMNITY

  By using the Website, you agree, to the extent permitted by law, to indemnify and hold Aiido, its directors, officers, employees, affiliates, agents, contractors, and licensors harmless with respect to any claims arising out of your breach of this Agreement, your use of the Website, or any action taken by Aiido as part of its investigation of a suspected violation of this Agreement or as a result of its finding or decision that a violation of this Agreement has occurred. This means that you cannot sue or recover any damages from Aiido, its directors, officers, employees, affiliates, agents, contractors, and licensors as a result of its decision to remove or refuse to process any information or content, to warn you, to suspend or terminate your access to the Website, or to take any other action during the investigation of a suspected violation or as a result of Aiido’s conclusion that a violation of this Agreement has occurred. This waiver and indemnity provision applies to all violations described in or contemplated by this Agreement.

  By using the Website, you agree, to the extent permitted by law, to indemnify and hold Aiido, its directors, officers, employees, affiliates, agents, contractors, and licensors harmless with respect to any disputes between you and other users and/or vendors of the Website, or any action taken by Aiido where such disputes affect the business of Aiido. This means that you cannot sue or recover any damages from Aiido, its directors, officers, employees, affiliates, agents, contractors, and licensors as a result of any conduct and/or decisions made pursuant to the said type of disputes. This waiver and indemnity provision applies to all violations whether or not described in or contemplated by this Agreement.

• NO AGENCY

  No agency, partnership, joint venture, employer-employee or franchisor-franchisee relationship is intended or created by this Agreement. No agency, partnership, joint venture, employer-employee or franchisor-franchisee relationship is intended, exists or is created between Aiido and any buyer and/or user.

• CHANGES

  Aiido reserves the sole and absolute discretion and/or right at any time to modify this Agreement and to impose new or additional terms or conditions on your use of the Website without any notice to you. Such modifications and additional terms and conditions will be effective immediately and incorporated into this Agreement. Your continued use of the Website will be deemed acceptance thereof.

• MISCELLANEOUS

  This Agreement constitutes the entire agreement between you and Aiido and governs your use of the Website, superseding any prior agreements between you and Aiido. You also may be subject to additional terms and conditions that may apply when you use affiliate services, third-party content, or third-party software.

  If any part of this Agreement is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect. Aiido’s failure to enforce any right or provisions in this Agreement will not constitute a waiver of such or any other provision. Aiido will not be responsible for failures to fulfill any obligations due to causes beyond its control.

  The Website is operated by Aiido from its offices in Singapore and Malaysia. You agree to comply with all laws, statutes, ordinances, and regulations that apply to your use of the Website. All transactions on the Website are governed by Singapore and Malaysia law, without giving effect to its conflict of law provisions. Your use of the Website may also be subject to other laws. You expressly agree that exclusive jurisdiction for any claim or dispute with Aiido or relating in any way to your use of the Website resides in the courts of Singapore and Malaysia.

  Risk of loss and/or errors for any transaction passes from Aiido in Singapore and Malaysia upon electronic transmission to the recipient in respect of the electronic order for the products and/or services. No Aiido employee or agent has the authority to vary this Agreement.

  Aiido may notify you with respect to the Website by sending an email message to your Account email address or a letter via postal mail to your Account mailing address, or by a posting on the Website. Notices shall become effective immediately.

  Aiido reserves the right to take steps Aiido believes are reasonably necessary or appropriate to enforce and/or verify compliance with any part of this Agreement.
